Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Elequate platform, website, coaching services, and related products (collectively, the "Services") provided by Elequate LLC ("Elequate," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.
Description of Services
Elequate provides a coaching and training platform designed for real estate teams who purchase online leads. Our Services include:
- The Online Lead Certification (OLC) training program
- CRM integration and funnel analysis tools
- Performance tracking and reporting dashboards
- AI-powered roleplay and practice scenarios
- Team management and agent scoring features
- One-on-one and group coaching sessions
Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
Subscriptions and Payment
Subscription Plans
Access to our Services requires a paid subscription. Subscription details, pricing, and features are described on our website and in your service agreement.
Billing
Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees and charges.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. See our Fulfillment Policy for details on refunds.
Acceptable Use
You agree not to:
- Use the Services for any illegal purpose or in violation of any laws
- Share your account credentials with others
- Attempt to gain unauthorized access to any part of the Services
- Interfere with or disrupt the Services or servers
- Copy, modify, distribute, or reverse engineer our software
- Use automated systems to access the Services without permission
- Upload malicious code, viruses, or harmful content
- Harass, abuse, or harm other users
- Use the Services to compete with Elequate
Intellectual Property
Our Content
The Services, including all content, features, and functionality (such as training materials, frameworks like CALM and WOW, software, designs, and trademarks), are owned by Elequate and protected by intellectual property laws.
Your Content
You retain ownership of data you provide (such as CRM data). By using the Services, you grant us a license to use, process, and display your content as necessary to provide the Services.
Restrictions
You may not reproduce, distribute, or create derivative works from our proprietary training content, methodologies, or materials without written permission.
Third-Party Integrations
Our Services integrate with third-party platforms (such as Follow Up Boss, Teachable, and others). Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party services.
Disclaimers
No Guaranteed Results
While our coaching and training programs are designed to improve sales performance, we do not guarantee specific results. Your success depends on many factors including market conditions, effort, and implementation.
As-Is Service
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEQUATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Elequate and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.
Termination
We may suspend or terminate your access to the Services at any time for:
- Violation of these Terms
- Non-payment of fees
- Conduct that we determine is harmful to other users or our business
- Extended periods of inactivity
Upon termination, your right to use the Services ceases immediately.
Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after changes constitutes acceptance of the new Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Miami-Dade County, Florida.
Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy and Fulfillment Policy, constitute the entire agreement between you and Elequate.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
